1.2 In using particular services offered by the Site, Users are also subject to all the guidelines, rules and / or additional terms and conditions applicable to these services which will be published on the Site from time to time. In particular, but without any limitation, reference is made to the additional conditions applicable to the contents of the following LawTech services (the "LawTech Services"), offered by third parties, in collaboration with LegalLAB (the "Additional Conditions"):

1.3 In case of any inconsistency between the provisions of these Terms of Use and any other guideline, rule and / or additional terms and conditions published from time to time on the Site, including also the Additional Conditions, the provisions of these other guidelines and conditions will prevail.
1.4 LegalLAB reserves the right to change the Terms of Use and the Additional Conditions from time to time in its sole discretion. It is the responsibility of the Users to periodically check these Terms of Use and the Additional Conditions to check for any changes.
2. Acceptance of the Terms of Use
2.1 These Terms of Use apply to the entire content of the Site (the "Site Content") or to the content for which a User registration is not required (the "Public Content") as well as to the services offered by the Site ( the "Site Services") and the LawTech Services (the Site Services and the LawTech Services collectively hereinafter referred to as the "Services"), insofar as they do not contradict the Additional Conditions. Please read these Terms of Use carefully before using the Site. By accessing the Site and / or any page of the same, the User declares to understand and accept these Terms of Use and any changes made to them, regardless of whether the User chooses to register further on the Site or otherwise send data, information or other content to LegalLAB.
2.2 If the User decides to register, by sending the registration form, he declares that he is aware of and also accepts the Additional Conditions attached herein, which by reference become an integral part of these Terms of Use.

3. Access to the Site and the Services
3.1 In general, users can access and browse the site without having to register.
3.2 Use of the Services requires the prior registration of the User. The use of some Services is also subject to a fee, as better specified in the Services themselves and / or in the Additional Conditions.
3.3 Whenever LegalLAB requests the submission of a registration form, the User declares and guarantees: (a) to be 18 years of age or older, or to be of age in the state in which the User resides, or, if a minor, to have the consent of the parents or legal guardian to register and use the Site (registration is in any case forbidden to minors under 14 years of age); (b) to register in the name and on its own behalf or in its own name but on behalf of the company for which it can validly act; (c) that the information provided in the registration form is true, updated, complete and accurate; and (d) that you accept, without reservation, these Terms of Use and the Additional Terms.
3.4 All information and data collected by LegalLAB when registering the User on the Site will be treated in accordance with LegalLAB's Privacy Policy [link].
3.5 To register Users for the LegalLAB newsletter service, Users must provide their email address. For the registration of Users to all other Services, Users must provide the following data: name, surname, company (if any), address.
3.6 Users agree to update the registration data directly, as necessary to ensure that they continue to be updated, complete and accurate.
3.7 LegalLAB will not be held responsible if for any reason the whole or a part of the Site or its contents is or should become unavailable at any time and / or for any period of time. In particular, but without limitation with respect to what is indicated above, access to all or part of the Site, and consequently to the Services, may be interrupted or suspended temporarily and without notice in the event of maintenance or repair of the system, in the event of system failure or for other reasons beyond the control of LegalLAB or in any case at the absolute discretion of LegalLAB.
4. Use and protection of username and password
4.1 Upon acceptance of a User registration form for the Services, LegalLAB will provide Users with a "Username" and a "Password" (hereinafter, and collectively, the "Credentials").
4.2 Users are responsible for maintaining the confidentiality of their Credentials.
4.3 The User undertakes to immediately inform LegalLAB by email at contact@legallab.swiss, as soon as he becomes aware of any breach of the confidentiality of one of the Credentials or of any other breach of the security of the User's account.
5. Use of Site Content
5.1 By using the Site and accessing the Services, Users acknowledge that in no case will LegalLAB be held liable in any way for any content, including, but not exclusively, any errors or omissions in any content, nor for any loss or damage suffered as result of the use of any Site Content (including the Services).
5.2 By registering for the Services and accessing them through their Credentials, the User acknowledges, and accepts without reservation, the Additional Conditions, attached to these Terms of Use.
5.3 The effective use of the Services and in general of the products and services contained in the LawTech Services will be conditioned on the purchase of the individual products or on the stipulation of a monthly / annual subscription, according to what is better provided by the applicable Additional Conditions.
5.4 Users are authorized to view, download, use, modify and print the Site Content under the following conditions: (a) the Site Content cannot be used, downloaded, displayed, modified or printed by persons or companies other than the User or transmitted to people or companies other than the User; (b) the Site Content other than the Site Services cannot be modified, adapted or altered in any way and (c) the User does not acquire any ownership rights over the Site Content. Any unauthorized use constitutes a violation material by Users of these Terms of Use and terminates the authorization granted by LegalLAB to use the Site and the Services.
5.5 Users cannot use the Site Content for purposes other than those expressly provided in these Terms of Use.
5.6 In relation to the use of the LawTech Services, please also refer to the Additional Conditions, which form an integral part of these Terms of Use. The Additional Conditions may, without any guarantee from LegalLAB, authorize a different use of the LawTech Services compared to the provisions of the previous Clause 5.4 of these Terms of Use.
5.7 The Site is accessible from countries all over the world; however not all the Services are available and / or accessible from all countries of the World; in addition, some Services may not be available in the User's country.
6. User contributions
6.1 If Users send any information, content or contribution to the Site (in any case a "Contribution"), Users will be solely responsible for sending and for the consequences of sending and uploading the same in all circumstances. LegalLAB does not wish to receive confidential or proprietary information of third parties, and any Contribution sent to LegalLAB through the Site will be considered non-confidential and not of third parties. The foregoing does not apply to the registration data referred to in Clause 3.5 of these Terms of Use.
6.2 While Users retain all rights, if any, on any Contribution, by submitting any Contribution to the Site, Users grant LegalLAB a worldwide right and license, perpetual, royalty-free, non-exclusive, sub-licensable and transferable to use, reproduce, modify, copy, perform, distribute and / or incorporate this Contribution into other works for any and all commercial and / or non-commercial purposes in any communication medium currently known or developed subsequently, free of charge, without prejudice only to the privacy restrictions in relation to personally identifiable information that are set out in LegalLAB's Privacy Policy [link]. Furthermore, by sending any Contribution to the Site, Users declare, guarantee and undertake that this Contribution does not violate any law or intellectual property rights or other property rights of third parties.
6.3 LegalLAB reserves the right to remove - at its discretion - any Contribution uploaded to the Site by Users.
6.4 As regards User Contributions within the LawTech Services, the provisions of the Additional Conditions apply.
7. Respect for "Netiquette" rules and user behavior
7.1 Users undertake to respect the general principles of behavior on the web commonly known as "netiquette".
7.2 The User agrees to use the Site only for lawful purposes and in such a way as not to violate the rights of LegalLAB, any owners of the Services, other users of the Site and / or third parties, nor limit or inhibit the use and enjoyment of the Site by LegalLAB, the other users of the Site and / or third parties. This restriction or inhibition includes, by way of example and without limitation, illegal behavior, or that may harass or cause discomfort or inconvenience to any person, and the transmission of obscene, defamatory or offensive content or the interruption of the normal flow of dialogue within of the Site.

8.1 Links from the Website. Links to third party websites on the Website are provided solely for the convenience of Users.
8.2 Links to the Site. Links from third party websites to the Site can only be created through links consisting of plain text (i.e. without logos) and on condition that they do not create an association with a third party brand, product or service. For other types of links to the Site, Users must obtain the explicit written authorization of LegalLAB.

9. Intellectual property rights
9.1 All intellectual property rights, including (but not limited to) copyright and trademark rights, on the Site, on the Services and on its other contents, are owned by or licensed to LegalLAB, or otherwise used by LegalLAB as permitted by applicable law.
9.2 All content (including, but not limited to, videos, images, sound clips, sounds, texts and any combination thereof) used on the Site (i) is owned by LegalLAB or licensed to LegalLAB, (ii) is protected by copyright laws applicable worldwide and (iii) may be used by Users only in accordance with these Terms of Use and the Additional Conditions of the relevant LawTech Services.
9.3 The names, trademarks, logos, domains "LegalLAB" including the names, trademarks, logos, domains derived from it, registered or not (collectively the "Trademarks & DN LegalLAB") are and remain the exclusive property of LegalLAB and are protected by regulations on trademarks applicable worldwide.
9.4 Improper use or use of the Trademarks & DN LegalLAB, except as expressly permitted in these Terms of Use, and including - without limitation - use as a domain name or as part of a domain name, is expressly prohibited.
9.5 The User is not allowed to use any of the LegalLAB Trademarks in any top level domain name.
9.6 Users are aware that some pages of the Site may also contain third party brands, domain names and other intellectual property rights which are also protected under applicable intellectual property laws. With particular regard to the LawTech Services, explicit reference is made to the provisions of the Additional Conditions of the individual LawTech Services.
9.7 LegalLAB may, in appropriate circumstances and in its sole discretion, limit or interrupt the User's access to the Site, the Services and / or close the accounts of the Users involved in disputes relating to intellectual property rights and remove or disable the access of such User to the Site, to the Services.
10. Disclaimers of liability

10.2 LegalLAB does not control and is not responsible for the accuracy or availability of information, content or services provided by LawTech Services, third party websites or internet pages that connect to the Site or that are connected to the Site.
10.3 The use of the Site, the Services or other content downloaded or otherwise obtained through the use of the Site is at the User's discretion and risk. The User will be solely responsible for any damage due to the use of the downloaded material or, in general, for damage to his / her IT system or other devices with which the User accesses the Site, the Services as well as any data loss resulting from the download or use of such content.
10.4 LegalLAB does not provide any guarantee or declaration that the Site, the Services or any other function, service and structure contained or provided on the Site will be uninterrupted, timely, safe or error-free, that the defects will be corrected, or that the Site or the server which makes it available will be free of viruses, bugs, spyware or the like.

11. Indemnification

14. Miscellaneous
14.1 Entire agreement. These Terms of Use (including the Privacy Policy) and the attached Additional Conditions constitute the entire agreement between Users and LegalLAB in relation to the Site, the Services and replace all previous agreements or previous discussions (written or oral ) between Users and LegalLAB.
14.2 No waiver. No deficiency or delay in the exercise or application of any of the rights of LegalLAB pursuant to these Terms of Use may constitute or imply a waiver of these rights.
14.3 Severability. In the event that any of these Terms of Use or the Additional Conditions (provided they are not essential) are deemed illegal or unenforceable, the validity or applicability of the rest of these Terms of Use will not be affected.
15. Applicable law and forum
15.1 Any dispute arising out of or in connection with these Terms of Use, the Additional Conditions and all matters or problems relating to them is subject to Swiss material law, excluding the conflict of laws rules.
15.2 Any dispute, dispute or claim arising out of or in connection with these Terms of Use and the Additional Conditions, including the validity, invalidity, violation or termination of the same, which cannot be resolved between the User and LegalLAB through the dialogue between the parties will be subject to the exclusive jurisdiction of the Courts of Lugano (Switzerland).
